HARDWARE PRODUCT TERMS, DISCLAIMERS, AND WARRANTIES

These Hardware Product Terms and Warranties ("Hardware Terms") are made between Roboflow, Inc. ("Roboflow")
and Customer and govern Customer's use of the Roboflow Hardware Products and related components described
herein. These Hardware Terms are incorporated into and made a part of the Master Services Agreement or applicable
order form entered into between Roboflow and Customer (the "Agreement"). In the event of any conflict between these
Hardware Terms and the Agreement, these Hardware Terms shall govern with respect to the subject matter herein.

1. Scope. These Hardware Terms apply to any physical hardware, components, or third-party equipment
procured, configured, or provided by Roboflow (the “Hardware Products”) in connection with Customer's use
of the Services under the Agreement.

2. Beta Hardware Products. Certain Hardware Products and configurations offered by Roboflow are
experimental, in active development, or offered on an early-access basis. Such products are provided for
evaluation and testing purposes and may not perform as expected in all environments or use cases. Roboflow
makes no representations regarding the suitability of experimental Hardware Products for production
deployments. Customer assumes all risk associated with the use of experimental Hardware Products.

3. Third-Party Components in Roboflow-Branded Hardware. Roboflow-branded Hardware Products may
incorporate third-party components, including without limitation cameras, edge computing devices, chips,
sensors, and peripheral equipment sourced from third-party manufacturers ("Third-Party Components").
While Roboflow performs integration and configuration of such components, Roboflow does not manufacture
Third-Party Components and makes no representation or warranty with respect to their individual
performance, reliability, or fitness for any particular purpose. Roboflow expressly disclaims all liability arising
from the failure, defect, or malfunction of any Third-Party Component.

4. Warranty Disclaimer. EXCEPT FOR THE EXPRESS WARRANTIES SET FORTH IN SECTION 7 OF THESE
HARDWARE TERMS, ALL HARDWARE PRODUCTS ARE PROVIDED "AS IS" AND WITHOUT ANY
REPRESENTATION OR WARRANTY OF ANY KIND. ROBOFLOW DISCLAIMS ALL IMPLIED AND
STATUTORY WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT,
QUIET ENJOYMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND ANY
WARRANTIES ARISING OUT OF COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF
TRADE. THIS DISCLAIMER APPLIES TO ROBOFLOW-BRANDED HARDWARE PRODUCTS IN THEIR
ENTIRETY, INCLUDING ANY THIRD-PARTY COMPONENTS INCORPORATED THEREIN. ROBOFLOW
WILL NOT BE LIABLE FOR ANY DELAY, DEGRADATION, OR FAILURE OF ANY HARDWARE PRODUCT
TO THE EXTENT RESULTING FROM OR RELATING TO: (A) FAILURES OF THIRD-PARTY
COMPONENTS OR THIRD-PARTY SERVICES, NETWORKS, OR SYSTEMS USED IN CONNECTION
WITH THE HARDWARE PRODUCTS; (B) FORCE MAJEURE OR OTHER CAUSES BEYOND
ROBOFLOW'S REASONABLE CONTROL; OR (C) CUSTOMER'S BREACH OF THE AGREEMENT, THESE
HARDWARE TERMS, OR CUSTOMER'S NEGLIGENT ACTS OR OMISSIONS.

5. Limitation of Liability. IN NO EVENT SHALL THE EXISTENCE OF THESE HARDWARE TERMS EXPAND
ROBOFLOW'S LIABILITY BEYOND THE LIMITS ESTABLISHED IN THE AGREEMENT. TO THE MAXIMUM
EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ROBOFLOW BE LIABLE FOR ANY
INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR
RELATED TO HARDWARE PRODUCTS, INCLUDING WITHOUT LIMITATION DAMAGES ARISING FROM
THE PERFORMANCE OR FAILURE OF ANY THIRD-PARTY COMPONENTS, REGARDLESS OF
WHETHER ROBOFLOW HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
ROBOFLOW'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO HARDWARE PRODUCTS,
INCLUDING WITHOUT LIMITATION ROBOFLOW-BRANDED HARDWARE AND ANY THIRD-PARTY
COMPONENTS INCORPORATED THEREIN, SHALL BE SUBJECT TO AND GOVERNED BY THE
LIMITATION OF LIABILITY PROVISIONS SET FORTH IN THE AGREEMENT.

6. Indemnification Exclusions. Roboflow’s indemnification obligations, if any, under the Agreement do not
extend to and expressly exclude claims arising from:

a. the performance, failure, defect, or malfunction of Third-Party Components incorporated into
Roboflow-branded hardware, including without limitation claims arising from personal injury, property
damage, or data loss caused by such Third-Party Components, regardless of whether such hardware
bears Roboflow branding;

b. Customer's or a third party’s modification, misuse, or improper installation of any Hardware Product;

c. Customer's combination of Hardware Products with software, systems, or equipment not approved or
provided by Roboflow;

d. Customer's use of experimental or early-access Hardware Products in production environments or in
any manner inconsistent with Roboflow's documentation or guidance;

e. Hardware Products that have been subject to accident, abuse, neglect, unauthorized repair, or use
outside of the environmental or operational specifications provided by Roboflow or the applicable
component manufacturer; and

f. any misuse of the Hardware Products by Customer or a third-party in violation of applicable law or
regulation.

7. Inspection and Acceptance. Customer shall inspect all Hardware Products and provide written notice of any
issues within seven (7) days of the date of delivery (the “Inspection Period”). If Customer does not report any
issues within the Inspection Period, the Hardware Products are deemed accepted. No claims may be made
after the Inspection Period. Customer’s sole and exclusive remedy for any valid and timely reported issue with
Hardware Products during the Inspection Period are limited to the following and in Roboflow’s sole discretion:
(a) repair of the affected Hardware Products, (b) replacement of the affected Hardware Products, or (c) no
action. Roboflow shall have no obligation to provide refunds, credits, or any other remedies, and shall have no
liability for any claims raised after the Inspection Period.

8. No Returns, Maintenance, and Support. All sales for Hardware Products are final. Roboflow does not accept
returns of Hardware Products nor Roboflow does not provide any ongoing support, maintenance, repair,
monitoring, or other operational services for Hardware Products unless expressly agreed to in a separate
written agreement

9. Delivery and Risk of Loss. Risk of loss for all Hardware Products passes to Customer upon delivery to the
shipping carrier. Roboflow is not responsible for delays, damage, or loss occurring during transit. Delivery
timelines are subject to manufacturer and vendor availability and Roboflow makes no representations
regarding specific delivery dates.
